4. Letter of Intent

Upon identifying the most suitable company, we will proceed to evaluate the target business and draft a formal Letter of Intent, which serves as our official offer to the Seller.

5. Due Diligence

After negotiating the Purchase Price and signing the Letter of Intent, we will guide you on the recommended due diligence procedures necessary to acquire a business. 

6. Closing

We will assist you on the Asset Purchase Agreement (APA) and conclude the transaction. This is the only moment we will charge a transaction fee on successful completion of the deal.

We'll identify reputable buyers, establish Non-disclosure Agreements (NDAs), share business information, and address any inquiries they may have.

5. Negotiation

The subsequent phase involves negotiating the purchase price of the company and the terms outlined in the Letter of Intent. Following successful negotiations, the buyer will proceed with due diligence in preparation for closing the transaction.

6. Closing

We will assist you on the Asset Purchase Agreement (APA) and conclude the transaction. This is the only moment we will charge a transaction fee on successful completion of the deal.

  • How much will I be charged?

    We do not charge engagement fees or pass on travel expenses or hourly rates. The only fee incurred is upon the successful completion of the acquisition. The fee ranges from 6 to 1%, depending on the size of your business, and will be directly wired by the buyer along with your payment.

  • How exactly will you assist me?

    We can break it down and simplify it into 7 steps:


    1. Conduct an evaluation of your company.


    2. Prepare marketing materials for buyers.


    3. Find a credible buyer for your company and present your business under a Confidentiality Agreement.


    4. Negotiate an offer, which will be expressed in a Letter of Intent.


    5. Facilitate the relationship between the seller and the buyer.


    6. Assist the seller with the key components of the Asset Purchase Agreement.


    7. Ensure a smooth transaction closure, guaranteeing that you get paid for your business and that the deal is finalized.

  • Is this process confidential?

    Yes. Nobody will know that you are willing to sell your business except the executive responsible for operating the transaction on the buy side. We will keep this process confidential and under a non-disclosure agreement. When the acquisition is completed, you and the buyer can decide together how to best communicate with your employees and customers.

  • Where is your main office?

    Our staff primarily operates remotely and occasionally travels to visit companies we are engaged with. While our focus is primarily on transactions in the United States, we also assist buyers and sellers in South America.
